Draw up articles of association
The articles of association (Statuten) are the “constitution” of your company – and mandatory for forming a GmbH (limited liability company) or AG (company limited by shares). Do not underestimate them: what is (or is not) set out here decides a great deal of money in a dispute, an exit or a sale.
Mandatory content
Required by law are, among other things, the company name and registered office, the purpose, the amount and division of the capital, and the form of official notices. Without these minimum details, formation is not possible. Tip: define the purpose fairly broadly so you can expand your business without amending the articles.
Optional provisions – where the value lies
Beyond the mandatory content, you can regulate voting rights, transferability of shares (transfer restrictions, Vinkulierung), non-compete clauses, pre-emption rights or special majorities. These are exactly the points that prevent later shareholder conflicts – introducing them afterwards is expensive and requires unanimity.
Standard or tailored?
For simple one-person set-ups, standard articles are often enough. With several shareholders, tailored articles are worth it. The articles are notarised in any case. planix drafts clean articles of association with you and guides you through all mandatory and optional points – free of charge.
Frequently asked questions
What must the articles of association contain?
At a minimum the company name, registered office, purpose, amount and division of the capital, and the form of official notices. Everything else (voting rights, transfer restrictions, majorities) is optional but often very useful.
Do I need a notary for the articles of association?
You can prepare the articles yourself; however, the formation of a GmbH or AG, including the articles, is notarised. planix prepares them so the notary appointment runs smoothly.
