Secure intellectual property and contracts
Alongside your brand, two things decide how well your company is protected: protecting your content and know-how – and contracts that clearly state who owns what. Especially when external people work on code, texts or design, a clean transfer of rights is crucial.
Copyright and know-how
Code, texts, templates and visualisations are automatically protected by copyright – what matters is that the contracts give your company all the rights. Realistically, you protect methodology, data models and internal tools as trade secrets through confidentiality, access restrictions and NDAs. This gives you an edge as long as it is not publicly documented.
Contracts and ownership
The biggest ownership risks arise when freelancers or agencies deliver code, content or designs without a clear written transfer of rights. Use standard contracts with full IP assignment, a waiver of moral rights and warranties on third-party rights/open source. Employment and consulting contracts should state that all work results belong to the company. For customers, short SaaS/licence terms are enough: right of use yes, ownership of the code no.
Patents – usually not the right lever
For typical SaaS architecture, workflows and recommendation systems, there is usually no viable patent protection in Europe; cost and enforcement are rarely in proportion to the benefit. Patents are only worth it for a technically genuinely new core technology that is hard to replicate. In the early stage, brand building, copyright, clean contracts and know-how protection are far more effective.
Frequently asked questions
Do I automatically own the code a freelancer writes?
No. Without a written transfer of rights, the rights can remain with the creator. A clear IP assignment in the contract is therefore essential.
Do I need patents for my software startup?
In most cases, no. Pure business logic and software are hardly patentable and expensive to enforce. Brand, copyright, contracts and confidentiality give more protection per franc.
