Commercial register entry
The entry in the commercial register (Handelsregister) makes your company official and public – and depending on the legal form, it is mandatory or voluntary. Key point: a GmbH or AG only comes into existence with the entry; for a sole proprietorship (Einzelfirma) it is a voluntary signal of trust. Here is what applies to you.
Who has to register?
A GmbH (limited liability company) and an AG (company limited by shares) must be registered – without an entry they do not legally exist. A sole proprietorship only has to register from CHF 100'000 in annual turnover, but can register voluntarily earlier (it looks more credible to banks, suppliers and customers).
Process and documents
Depending on the legal form, you need the articles of association, the notarial deed of formation, the capital confirmation and details of the persons subject to registration. After review, the entry is made and published in the Swiss Official Gazette of Commerce (SHAB). Tip: complete documents avoid queries and delays.
