GmbH share capital
Share capital (Stammkapital) is the financial basis of every GmbH (limited liability company) – and the most misunderstood item. The key point first: the CHF 20'000 is not money lost but your starting capital, which you may use normally after formation.
How much is the share capital?
The legal minimum share capital of a GmbH in Switzerland is CHF 20'000 and must be paid in full at formation – unlike an AG (company limited by shares), where partial payment is enough. The amount can be split between several shareholders.
Paying in and using it – a common misconception
You pay the share capital into a capital deposit account (Kapitaleinzahlungskonto, a blocked account) before formation. After the entry in the commercial register (Handelsregister), it is released and available as working capital for investments, salaries or materials. Many believe the money is “gone” or permanently blocked – wrong: it remains your equity.
Set out capital contributions and ownership clearly
The share capital is divided into capital contributions (Stammanteile), which determine ownership and voting rights. With several shareholders, set out shares, voting rights and exit rules in writing from the start – doing it later is expensive and prone to conflict. planix guides you through capital, capital contributions and all formation documents – free of charge.
