Set up an AG in Switzerland
The AG (Aktiengesellschaft, company limited by shares) is the most prestigious legal form in Switzerland: anonymous shareholders, high credibility and the best conditions for bringing in investors. If you want to scale or sell later, an AG is usually the right choice. Here’s how to set one up.
Share capital and requirements
Share capital of at least CHF 100'000, of which at least CHF 50'000 must be paid in at incorporation. You need at least one shareholder and a board of directors with a representative resident in Switzerland. Tip: you can pay in the remaining CHF 50'000 later as a reserve.
The incorporation steps
The process is similar to a GmbH: draw up the articles of association, pay the share capital into a capital contribution account, have the incorporation notarised, appoint the board of directors and register with the commercial register (Handelsregister). With the entry, the AG comes into existence and the blocked account is released.
