GmbH or AG – which suits you better?
The GmbH (limited liability company) and the AG (company limited by shares) are both corporations with limited liability – and they are taxed almost identically. So don’t decide on the basis of tax, but on three things: capital, anonymity and image. This comparison gets to the point.
Capital and payment
GmbH: share capital CHF 20'000, paid in full. AG: share capital CHF 100'000, of which at least CHF 50'000 must be paid in. An AG therefore ties up considerably more capital – but in return you can issue and transfer shares more easily later on, which investors value.
Anonymity and image
With a GmbH, the shareholders are publicly visible in the commercial register – an often underestimated point. With an AG, the shareholders remain anonymous; only the board of directors is registered. An AG also enjoys a higher standing with banks and investors.
When a GmbH, when an AG? planix helps you decide
A GmbH for smaller, owner-managed companies with manageable capital. An AG if you’re bringing in investors, want to remain anonymous or want the most professional image possible. Both can be converted later, but with effort. The planix legal form finder weighs up these criteria for your case – free.
Frequently asked questions
What is the biggest difference between a GmbH and an AG?
Capital and anonymity: a GmbH needs CHF 20'000 and its shareholders are public; an AG needs CHF 100'000 (min. 50'000 paid in) and its shareholders remain anonymous.
Is an AG better than a GmbH for tax purposes?
No, both are treated largely the same for tax purposes. Decide based on capital, liability, anonymity and image – not primarily on tax.
